Terms and Conditions of Use — Kopartner closed beta

Version 2026-10-12Last updated: October 12, 2026

These Terms and Conditions govern access to and use of Kopartner during its closed beta. Read them before creating your account. By ticking the acceptance box when you sign up with your invitation code, you declare that you have read and accept them, together with the Privacy Policy.

1. Who provides the service

Kopartner is a business management software service provided by Ricardo Parare, a natural person, holder of RIF V-20303927-8, domiciled in Caracas, Venezuela (hereinafter, “the Provider” or “we”). You can write to us at hola@kopartner.app.

In these terms, “you”, “the user” or “the business” is the person who creates the account and, when doing so on behalf of a business, that business as well. You declare that you are over 18 years old, that you have the legal capacity to accept these terms and, if you act on behalf of a business, that you have the authority to bind it.

2. What Kopartner is

Kopartner is a web application, which you can also install on your phone, that lets a business manage its inventory and products, record sales and payments, control the cash register, manage customers, suppliers and purchases, organize tasks and a calendar, generate non-fiscal sales receipts and work with several branches, currencies and exchange rates, depending on the plan.

Each business has its own space, with its own address of the form <business>.kopartner.app, separate from the spaces of all other businesses.

The available features, their limits and their appearance may change during the beta.

3. What “closed beta” means

Kopartner is offered as a closed beta: it is a version under evaluation, accessed by invitation and with limited seats. By accepting these terms you understand and accept that:

  • The service is offered “as is” and “as available”. It may have errors, interruptions or slowness, and we do not guarantee continuous availability or response times.
  • We may add, change or remove features, limits and screens, and perform maintenance with or without prior notice when reasonable for technical or security reasons.
  • The closed beta is scheduled to end on January 31, 2027. We may extend it, bring it forward or end it, and even decide not to continue the service. We will notify you at your account email at least 15 days in advance when possible.
  • The end of the beta does not by itself shorten the free trial period already granted to you.
  • You may send us comments and suggestions; we may use them freely to improve the product, without entitling you to compensation or to their implementation.
  • You must keep your own backups and records of the essentials of your business (see the section on limitation of liability).

4. Access by invitation and code

To create an account during the beta you need a valid invitation code (in the format KOP-XXXXX-XXXXX-XXXXX-XXXXX) that we give you. Each code:

  • is single-use: once redeemed when you sign up, it cannot be used for another account;
  • is personal and non-transferable: you may not sell, assign or publish it;
  • expires 7 days after being issued if you have not used it;
  • when redeemed, links your business to the beta and gives it a free trial period of 60 days.

Beta seats are limited. You can request access by writing to us on WhatsApp or at hola@kopartner.app; the information you send us to request it is used only to evaluate your request. Handing over a code does not oblige us to maintain access beyond what is provided in these terms.

We may revoke access if the code was obtained or used in breach of these terms, for example by creating several accounts to obtain additional trials.

5. Your account and your team

You must give us truthful information and keep it up to date (name, email, business name). You are responsible for the confidentiality of your password and for everything done with your account.

The owner of a business account decides who else has access (team members) and with what role and permissions, and is responsible for the actions of those people and for removing access from anyone who stops working with the business.

Notify us immediately at hola@kopartner.app if you suspect unauthorized use of your account. You may not create additional accounts to obtain additional trial periods.

6. Your data and your customers’ data

Everything you upload or generate in Kopartner (products, inventory, sales, payments, customers, suppliers, tasks, images and so on) is “Business Data”. Business Data remains yours: we do not acquire ownership of it. You grant us a limited, non-exclusive license to host, process, copy and display it solely to provide the service to you, including security, backups and support.

You are responsible for the Business Data: for its accuracy, for having the right to upload it and for complying with the rules that apply to the processing of the personal data of your customers, suppliers and employees (informing them, having the appropriate basis and handling their requests). With respect to that personal data, Kopartner processes it on behalf of your business and following your instructions, as explained in the Privacy Policy. Do not upload information you do not need to run your business, nor full payment card data or third-party passwords.

If you use public features, such as your business’s public catalog or sending a receipt link to a customer, the information those features show will be seen by anyone who has the link: you decide what you publish and with whom you share it.

We only access Business Data when necessary for the support you ask us for, for the security of the service, to prevent abuse or to comply with the law.

7. Sales receipts: non-fiscal documents

Kopartner lets you generate sales receipts, print them or share them through a link. These receipts are non-fiscal documents: they are an informational proof of a transaction and always carry the legend “NON-FISCAL DOCUMENT”.

Receipts do not replace invoices or any other document that Venezuelan tax regulations require you to issue (for example, those issued through a fiscal machine or a digital printer authorized by SENIAT). Kopartner is not a fiscal machine nor a system authorized by SENIAT to issue invoices, and it does not provide tax certification.

You are solely responsible for complying with your tax obligations (issuing invoices, books, returns, payment of taxes and withholdings) and for consulting your accountant about which document you must issue for each transaction. The tax profile data that appears on the receipt (business name, RIF, address) is entered by you and you are responsible for it.

The public link of a receipt is a way to look it up: it is signed, expires over time and shows minimal customer data. It is not an official document.

8. Pricing, free trial and founder price

Free trial. Businesses that join the beta with an invitation code have a free trial period of 60 days, counted from the creation of the account, with no card required.

Paid plans. To keep using Kopartner after the trial ends you must subscribe to a paid plan. The prices and features of each plan are shown on the site and in the billing section of the application, are expressed in US dollars (USD) and may change. Payments are received by the means we enable at any given time (for example, bank transfer, mobile payment or others). If the trial expires without you subscribing to a plan, after a short grace period access to the application is suspended until a plan is activated. If the law requires taxes to be charged on the service, they will be indicated separately. We will notify you 15 days in advance before changing the price of a plan you are already paying for. We do not offer refunds for periods already elapsed, except for a billing error on our part or when the law requires it.

Founder price. As recognition for those who take part in the closed beta, businesses that joined by invitation can access a founder price: a 50% discount for 6 months on the price of the Negocio plan (or the plan that replaces it), under these conditions:

  • it applies only to businesses that joined the closed beta with an invitation code;
  • you must move to a paid plan before your 60-day free trial ends;
  • if you stop paying, you lose the discount and it is not reinstated.

After the 6 months, the full current price of the plan applies. The founder price is a commercial condition specific to the closed beta: it is not a promise of future pricing, it cannot be combined with other promotions and it is not transferable.

9. Acceptable use

You agree to use Kopartner lawfully. You may not:

  • use it for illegal activities or to sell prohibited goods or services, or to facilitate tax evasion or money laundering;
  • try to access other businesses’ data, breach the security of the service, run intrusion tests without our authorization or overload it with abusive automated use;
  • circumvent limits, quotas or trial periods, or create accounts for that purpose;
  • upload viruses, malicious code or content that infringes third-party rights;
  • impersonate another person or business;
  • resell, sublicense or assign access to the service without our permission.

If you breach this section we may suspend or terminate your access (see “Suspension and termination”).

10. Intellectual property

The software, the Kopartner brand, the logo, the design and the texts of the service belong to the Provider or its licensors. For the duration of these terms we grant you a limited, non-exclusive, revocable and non-transferable license to use the service for your own business purposes. You may not copy, modify, decompile or create derivative works of the service, except as the law expressly permits.

Business Data is yours (see “Your data and your customers’ data”). Third-party trademarks that appear in the service belong to their owners.

11. Third-party services and exchange rates

Kopartner runs on third-party services (hosting, database, email and others, described in the Privacy Policy). Their availability or failures may affect the service and we do not control them.

Exchange rates (for example, the official BCV rate) are obtained from a third-party data source and shown as a reference. You can also set your own rates manually. Before using a rate in a transaction, check that it is the one you must apply. We do not guarantee that rates are complete, up to date or available, and we are not responsible for decisions made with them.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • The service, in beta, is offered without warranties of any kind, express or implied, including those of fitness for a particular purpose, freedom from errors and continuous availability.
  • We are not liable for lost profits, loss of revenue, customers, opportunities or data, nor for indirect or consequential damages arising from the use of or inability to use the service, including calculation errors in prices, inventory, cash register or rates and service interruptions.
  • Our total cumulative liability, for any cause, is limited to the amount you have paid for the service in the 3 months before the event giving rise to it; if you have made no payments, no compensation will be due, except what the law does not allow to be excluded.
  • Nothing in this excludes liability that the law does not allow to be limited, such as liability arising from willful misconduct.
  • You are responsible for the use you make of the service’s information: tax calculations, purchasing and pricing decisions, and compliance with your obligations to your customers and to the authorities. We recommend that you keep your own copies or records of the essential information of your business.
  • We are not liable for failures caused by force majeure or events beyond our reasonable control, such as failures of providers, power or internet, disasters or regulatory changes.
  • You agree to hold us harmless from third-party claims arising from your Business Data or from your breach of these terms.

13. Suspension and termination

You may stop using Kopartner and ask to close your account at any time by writing to hola@kopartner.app from your account email.

We may suspend or terminate your access, with or without prior notice depending on the severity: for breach of these terms (for example, acceptable use), for risk to the security of the service or of other users, at the request of a competent authority, for non-payment once the trial has ended, or because the beta or the service ends. When possible and where there is no risk, we will notify you 15 days in advance.

Once access ends you can no longer use the service. The clauses that by their nature must remain in force (intellectual property, limitation of liability, governing law) continue. Suspension does not delete your data immediately: see the next section.

14. Export and deletion of your data at the end

When your access ends, whether by your decision, because the beta ends or by termination, you have the right to request, within the following 30 days, a copy of your Business Data in a commonly used structured format (for example, CSV or XLSX spreadsheets), by writing to hola@kopartner.app from your account email. We may verify your identity before delivering it.

After that period, we will delete or anonymize the Business Data and the personal data of your account, except what we must keep because of a legal obligation or to defend ourselves against a claim, and except the provider’s backup copies, which are overwritten in their normal cycle. If you close your account, you can ask for immediate deletion at any time.

15. Changes to these terms

We may update these terms, for example when the beta ends. We will publish the new version on this page with its version number and date and, if the change is substantial, we will notify you by email or inside the application 15 days in advance. If you keep using the service after the change takes effect, you are deemed to accept it; if you do not agree, you can close your account.

If in the future the service is provided by a legal entity, we may assign these terms to it, notifying you.

16. Governing law and jurisdiction

These terms are governed by the laws of the Bolivarian Republic of Venezuela. For any dispute arising from them, the parties submit to the jurisdiction of the competent courts of the city of Caracas, Venezuela, waiving any other forum that might correspond to them, unless the applicable law does not allow that waiver. Before going to court, write to us at hola@kopartner.app: we will try to resolve it in good faith.

17. General provisions

If any provision of these terms is declared invalid, the rest remains in force. These terms, together with the Privacy Policy, are the entire agreement between you and the Provider on the use of Kopartner in the beta. Our not exercising a right at a given time does not mean that we waive it.

These documents are offered in Spanish, English and Portuguese for your convenience; if there are differences between the versions, the Spanish version prevails.

18. Contact

For any question about these terms write to hola@kopartner.app. Provider: Ricardo Parare, RIF V-20303927-8, Caracas, Venezuela.
