Terms and Conditions of Use of Kopartner

Version 2026-10-20Last updated: October 20, 2026

These Terms and Conditions govern access to and use of Kopartner. Read them before creating your account or joining a business’s team. By ticking the acceptance box —when you sign up with your invitation code, when you accept a team invitation or when you accept a new version—, you declare that you have read and accept them, together with the Privacy Policy.

1. Who provides the service

Kopartner is a business management software service provided by Ricardo Parare, a natural person, holder of RIF V-20303927-8, domiciled in Caracas, Venezuela (hereinafter, “the Provider” or “we”). You can write to us at hola@kopartner.app.

In these terms, “you”, “the user” or “the business” is the person who creates the account and, when doing so on behalf of a business, that business as well. You declare that you are over 18 years old, that you have the legal capacity to accept these terms and, if you act on behalf of a business, that you have the authority to bind it.

You also declare that you use Kopartner for commercial or professional purposes, and not as an end consumer.

2. What Kopartner is

Kopartner is a web application, which you can also install on your phone, that lets a business manage its inventory and products, record sales and payments, control the cash register, manage customers, suppliers and purchases, organize tasks and a calendar, generate non-fiscal sales receipts and work with several branches, currencies and exchange rates, depending on the plan.

Each business has its own space, with its own address of the form <business>.kopartner.app, separate from the spaces of all other businesses.

The available features, their limits and their appearance may change while Kopartner remains under evaluation.

3. Invitation program and beta version

Kopartner is under evaluation (beta) and, for now, sign-up is by invitation and with limited seats. By accepting these terms you understand and accept that:

  • The service is offered “as is” and “as available”. It may have errors, interruptions or slowness, and we do not guarantee continuous availability or response times.
  • We may add, change or remove features, limits and screens, and perform maintenance with or without prior notice when reasonable for technical or security reasons.
  • The invitation program closes on December 15, 2026: after that date we will not issue new invitation codes. Codes already issued remain valid until they expire. The closing of the program is not the end of the service: businesses already registered keep using Kopartner on paid plans. We may extend that date.
  • The 60-day free trial that has been granted to you is honored in full. We only end it early for serious cause (see “Suspension and termination”) or with 15 days’ prior notice and the proportional refund that applies (see “Refunds”).
  • You must keep your own backups and records of the essentials of your business (see the section on limitation of liability).

4. Access by invitation and code

While sign-up is by invitation, to create an account you need a valid invitation code (in the format KOP-XXXXX-XXXXX-XXXXX-XXXXX) that we give you. Each code:

  • is single-use: once redeemed when you sign up, it cannot be used for another account;
  • is personal and non-transferable: you may not sell, assign or publish it;
  • expires 7 days after being issued if you have not used it;
  • when redeemed, links your business to the invitation program and gives it a free trial period of 60 days.

Seats are limited. You can request access by writing to us on WhatsApp or at hola@kopartner.app; the information you send us to request it is used only to evaluate your request. Handing over a code does not oblige us to maintain access beyond what is provided in these terms.

We may revoke access if the code was obtained or used in breach of these terms, for example by creating several accounts to obtain additional trials.

5. Your account and your team

You must give us truthful information and keep it up to date (name, email, business name). You are responsible for the confidentiality of your password and for everything done with your account.

The owner of a business account decides who else has access (team members) and with what role and permissions, and is responsible for the actions of those people and for removing access from anyone who stops working with the business.

If you are invited to a business’s team, by ticking the acceptance box of the invitation you accept these terms and the Privacy Policy to use Kopartner as a member of that business. The plan and payments of the business are managed by its owner.

Notify us immediately at hola@kopartner.app if you suspect unauthorized use of your account. You may not create additional accounts to obtain additional trial periods.

6. Your data and your customers’ data

Everything you upload or generate in Kopartner (products, inventory, sales, payments, customers, suppliers, tasks, images and so on) is “Business Data”. Business Data remains yours: we do not acquire ownership of it. You grant us a limited, non-exclusive license to host, process, copy and display it solely to provide the service to you, including security, backups and support.

You are responsible for the Business Data: for its accuracy, for having the right to upload it and for complying with the rules that apply to the processing of the personal data of your customers, suppliers and employees (informing them, having the appropriate basis and handling their requests). With respect to that personal data, Kopartner processes it on behalf of your business and following your instructions, as explained in the Privacy Policy. Do not upload information you do not need to run your business, nor full payment card data or third-party passwords.

If you use public features, such as your business’s public catalog or sending a receipt link to a customer, the information those features show will be seen by anyone who has the link: you decide what you publish and with whom you share it.

We only access Business Data when necessary for the support you ask us for, for the security of the service, to prevent abuse or to comply with the law.

We may use anonymized and aggregated data, which does not identify you or your customers, to operate, measure and improve the service.

We apply reasonable security measures to protect Business Data (see the Privacy Policy). If a security incident affecting your data occurs, we will inform you by email.

7. Sales receipts: non-fiscal documents

Kopartner lets you generate sales receipts, print them or share them through a link. These receipts are non-fiscal documents: they are an informational proof of a transaction and always carry the legend “Non-fiscal document” (or its equivalent in the language of the receipt).

Receipts do not replace invoices or any other document that Venezuelan tax regulations require you to issue (for example, those issued through a fiscal machine or a digital printer authorized by SENIAT). Kopartner is not a fiscal machine nor a system authorized by SENIAT to issue invoices, and it does not provide tax certification.

You are solely responsible for complying with your tax obligations (issuing invoices, books, returns, payment of taxes and withholdings) and for consulting your accountant about which document you must issue for each transaction. The tax profile data that appears on the receipt (business name, RIF, address) is entered by you and you are responsible for it.

The public link of a receipt is a way to look it up: it is signed, expires over time and shows minimal customer data. It is not an official document.

8. Pricing, free trial and founder price

Free trial. Businesses that join with an invitation code have a free trial period of 60 days, counted from the creation of the account, with no card required. The trial is honored in full (see “Invitation program and beta version”).

Paid plans. To keep using Kopartner after the trial ends you must subscribe to a paid plan. The features and prices of each plan are shown on the site and in the billing section of the application, and may change; we will notify you 15 days in advance before changing the price of a plan you are already paying for. How payment works, in which currency and what happens when a plan expires is explained in “Payments”.

Founder price. As recognition for those who take part in the invitation program, businesses that joined with an invitation code can access the founder price: a 50% discount on the list price of the Negocio plan (or the plan that replaces it) in force at the first paid period, kept fixed for 6 consecutive monthly periods. Conditions:

  • it applies only to businesses that joined with an invitation code and move to a paid plan before their 60-day free trial ends;
  • if the plan expires and more than 3 grace days pass without renewing it, you lose the discount and it is not reinstated;
  • it does not apply to a plan above the Negocio plan; if you return to the Negocio plan within the 6 months counted from the first discounted period, you resume the discounted periods you had left;
  • if the Negocio plan changes its name, the founder price moves to the equivalent plan.

After the 6 periods, the current list price of the plan applies. The founder price is not a promise of future pricing, it cannot be combined with other promotions and it is not transferable.

9. Payments

No automatic renewal. We do not renew or charge automatically. Each plan is paid per period and in advance, and to keep using the service you must pay the next period before the current one expires.

Payment order. To pay, we generate a payment order. The order expires 7 days after it is created and, once expired, it can no longer be paid: if you still want the plan, request a new order.

Plan expiry and grace period. When your plan expires (or your free trial, if you did not subscribe to one) you have 3 grace days to renew it. After the grace period, access is limited to the billing section until you renew.

Currency and taxes. Prices are in US dollars (USD) and do not include taxes. If regulations require taxes to be added to our service, they will be indicated separately and added to the price.

Payments in bolívares. You can pay in bolívares: the amount is converted at the official BCV rate in force on the day of payment. Payments are received by the means we enable at any given time (for example, bank transfer, mobile payment or others).

Proof of payment. We give you a proof of payment for every payment. We only issue a fiscal document when regulations require it; in the meantime, the proof of payment is a non-fiscal receipt.

Suspicious payments. We may reject a payment that we consider suspicious and ask you for information to verify it.

10. Refunds

Proportional refund. We refund the proportional part of the time paid and not used in these cases:

  • when we end your access without you having breached these terms, including the decision to stop providing the service;
  • when you close your account because you do not accept a substantial change to these terms (see “Changes to these terms”).

No refund. There is no refund when you close your account by your own decision, nor when we suspend or end your access for breach of these terms.

Billing error. If we overcharge you because of an error on our part, we correct it and return the difference to you. Nor do we limit the refunds that the law requires.

The proportional refund is calculated by days over the paid period and is made by a means we agree on with you.

11. Acceptable use

You agree to use Kopartner lawfully. You may not:

  • use it for illegal activities or to sell prohibited goods or services, or to facilitate tax evasion or money laundering;
  • try to access other businesses’ data, breach the security of the service, run intrusion tests without our authorization or overload it with abusive automated use;
  • circumvent limits, quotas or trial periods, or create accounts for that purpose;
  • upload viruses, malicious code or content that infringes third-party rights;
  • impersonate another person or business;
  • resell, sublicense or assign access to the service without our permission.

If you breach this section we may suspend or terminate your access (see “Suspension and termination”).

12. Content you publish

You are responsible for the content you upload or publish with Kopartner (for example, the images and descriptions of your public catalog). We may remove or disable content that is unlawful or that infringes third-party rights or these terms, and cooperate with the competent authorities when the law requires it. When possible and where there is no risk, we will notify you.

13. Intellectual property

The software, the Kopartner brand, the logo, the design and the texts of the service belong to the Provider or its licensors. For the duration of these terms we grant you a limited, non-exclusive, revocable and non-transferable license to use the service for your own business purposes. You may not copy, modify, decompile or create derivative works of the service, except as the law expressly permits.

Business Data is yours (see “Your data and your customers’ data”). Third-party trademarks that appear in the service belong to their owners.

You may send us comments and suggestions. You grant us a broad, free, perpetual and irrevocable license to use them, modify them and incorporate them into the service without entitling you to compensation or to their implementation. This license does not include your Business Data.

14. Third-party services and exchange rates

Kopartner runs on third-party services (hosting, database, email and others, described in the Privacy Policy). Their availability or failures may affect the service and we do not control them.

Exchange rates (for example, the official BCV rate) are obtained from a third-party data source and shown as a reference. You can also set your own rates manually. Before using a rate in a transaction, check that it is the one you must apply. We do not guarantee that rates are complete, up to date or available, and we are not responsible for decisions made with them.

15. Limitation of liability

To the maximum extent permitted by applicable law:

  • The service is offered without warranties of any kind, express or implied, including those of fitness for a particular purpose, freedom from errors and continuous availability.
  • We are only liable for actual damage, proven and attributable to an error on our part.
  • We are not liable for lost profits, loss of revenue, customers, opportunities or data, nor for indirect or consequential damages arising from the use of or inability to use the service, including calculation errors in prices, inventory, cash register or rates and service interruptions.
  • Our total cumulative liability, for any cause, is limited to the greater of (a) what you have paid for the service in the 3 months before the event giving rise to it and (b) 50 USD.
  • Neither the exclusion of damages nor that cap applies in case of our willful misconduct or gross negligence, nor to liability that the law does not allow to be limited.
  • You are responsible for the use you make of the service’s information: tax calculations, purchasing and pricing decisions, and compliance with your obligations to your customers and to the authorities. We recommend that you keep your own copies or records of the essential information of your business.
  • We are not liable for failures caused by force majeure or events beyond our reasonable control, such as failures of providers, power or internet, disasters or regulatory changes.

16. Indemnity

You agree to hold us harmless from third-party claims arising from your Business Data or from your breach of these terms, provided that you notify us in writing of the claim as soon as you become aware of it and cooperate reasonably in the defense. This obligation is limited to third-party claims: it does not cover the damages you suffer yourself nor claims between you and us.

17. Suspension and termination

You may stop using Kopartner and ask to close your account at any time by writing to hola@kopartner.app from your account email.

We may suspend or terminate your access, with or without prior notice depending on the severity, for breach of these terms (for example, acceptable use), for risk to the security of the service or of other users, at the request of a competent authority or for non-payment once the plan and the grace period have expired. We may also terminate your access without you having breached anything, for example if we decide to stop providing the service: in that case we will notify you 15 days in advance and refund you the proportional part of the time paid and not used (see “Refunds”).

Once access ends you can no longer use the service. The clauses that by their nature must remain in force (intellectual property, limitation of liability, indemnity, governing law) continue. Suspension does not delete your data immediately: see the next section.

18. Retention, copy and deletion of your data at the end

Retention. When your plan expires and you do not renew it, when you close your account or when we end your access, we keep your Business Data for 3 months, counted from the expiry without payment or from the closing, so that you can ask for a copy or come back and pay. After that period we delete it permanently, except what the law requires us to keep and the provider’s backup copies, which are overwritten in their normal cycle.

Immediate deletion. If, when closing your account, you ask us to delete it, we delete your Business Data immediately, without waiting for that period, with the same exceptions.

Copy of your data. You can ask for a copy of your Business Data, in a commonly used structured format (for example, CSV or XLSX spreadsheets), by writing to hola@kopartner.app from your account email. We verify your identity and deliver the copy within a maximum of 15 business days from your verified request.

Exception for expired trials. The images and logos of a business whose free trial expired without it ever having paid are deleted automatically 60 days after the expiry, without waiting for the retention period above.

19. Notices

The notices we send you (for example, changes to these terms, payment notices, termination of the service or security incidents) are sent to your account email and are deemed received 48 hours after being sent. It is your responsibility to keep that email up to date and to check it. We may also show you notices inside the application.

You can write to us at hola@kopartner.app from your account email.

20. Changes to these terms

We may update these terms. We will publish the new version on this page with its version number and date, and we will keep previous versions available on the versions page. If the change is substantial, we will notify you by email 15 days in advance.

A substantial change requires you to accept the new version on your next access to the application. If you do not accept it, you will not be able to keep using it; you can close your account without penalty and, if the change is substantial, with the proportional refund set out in the section “Refunds”.

We may assign these terms to a legal entity that provides the service, notifying you. If you do not agree with the assignment, you can close your account without penalty.

21. Governing law, disputes and jurisdiction

These terms are governed by the laws of the Bolivarian Republic of Venezuela.

Before going to court, the party who wishes to make a claim must notify the other in writing (us, at hola@kopartner.app) describing the claim, and both will try to resolve it in good faith for 30 days. After that period without agreement, any dispute arising from these terms is submitted to the jurisdiction of the competent courts of the city of Caracas, Venezuela, waiving any other forum that might correspond to them, unless the applicable law does not allow that waiver. No arbitration is agreed.

22. General provisions

If any provision of these terms is declared invalid, the rest remains in force. These terms, together with the Privacy Policy, are the entire agreement between you and the Provider on the use of Kopartner, and replace any prior verbal promise or communication: verbal promises have no effect. Our not exercising a right at a given time does not mean that we waive it.

These documents are offered in Spanish, English and Portuguese for your convenience; if there are differences between the versions, the Spanish version prevails.

23. Contact

For any question about these terms write to hola@kopartner.app. Provider: Ricardo Parare, RIF V-20303927-8, Caracas, Venezuela.
